Please read these terms carefully
A clear business-to-business agreement.
These Service Terms apply when a business, sole trader or professional operator purchases, accesses or uses CompV2. They explain what the platform provides, how subscriptions renew, what you remain responsible for as a competition operator and what happens when the service ends.
“CompV2”, “we”, “us” and “our” mean the CompV2 contracting business identified on your order confirmation or invoice. “You” and “Customer” mean the person or organisation purchasing or using the service.
1. Definitions
- Agreement
- These Service Terms together with the package description, checkout confirmation, accepted quotation, statement of work and any data-processing terms that apply.
- Platform
- The CompV2 hosted competition website software, administration tools, modules, dashboards, APIs, documentation, updates and related services supplied under your subscription.
- Customer Data
- Content, customer records, competition information and other data submitted to or processed through the Platform on your behalf.
- Subscription
- Your recurring right to access the package, modules, usage allowances and support shown at checkout or in an accepted order.
- Authorised User
- An employee, contractor or representative whom you permit to access your CompV2 administration or client account.
2. Agreement and eligibility
You accept this Agreement when you select the acceptance box at checkout, make payment, sign or approve an order, or access the Platform after receiving these Terms. You confirm that you are at least 18, are purchasing for business purposes and have authority to bind the Customer.
If an accepted quotation or statement of work conflicts with these Terms, the specifically agreed document takes priority for that conflict. Competition-specific terms shown to your entrants remain your responsibility and do not form part of this Agreement.
3. Platform access and licence
Subject to payment and compliance with this Agreement, CompV2 grants you a limited, non-exclusive, non-transferable licence to use the Platform for your own competition business during the Subscription. Unless an order expressly states otherwise, one Subscription covers one customer-facing competition website.
Your package determines the modules, usage allowances and support available. CompV2 may improve, update or replace functionality where this does not materially reduce the core service you purchased. Security fixes and urgent maintenance may be deployed without advance notice.
You are responsible for Authorised Users, account permissions and keeping login credentials secure. Tell us promptly if you suspect unauthorised access.
4. Subscription, payment and renewal
4.1 Monthly billing
Monthly Subscriptions are charged in advance and renew each month until cancelled. Cancellation stops the next renewal; it does not normally refund a period that has already started unless required by law or expressly agreed.
4.2 Annual billing
Annual Subscriptions are charged in advance for a twelve-month term at the annual price shown at checkout. Where advertised as “12 months for the price of 10”, the full discounted annual amount is collected by Stripe when the Subscription begins and at each annual renewal.
4.3 Taxes, allowances and changes
Prices exclude VAT unless stated otherwise. Email, SMS, hosting or other usage allowances are those displayed at checkout or agreed in writing. An increase requested by you may change the recurring charge. If sustained usage requires a higher-capacity server, we will explain the requirement and price before making a chargeable change.
4.4 Failed payments
Payments are processed by Stripe. You must maintain a valid payment method. If payment fails or remains overdue, we may restrict access, pause updates or suspend the service after giving reasonable notice and an opportunity to correct the payment issue.
No CompV2 setup fee or CompV2 per-order charge applies where the selected package is advertised on that basis. Merchant onboarding, legal advice, advertising licences, payment-processing fees, domains and other third-party costs are separate.
5. Onboarding, domains and hosting
Any launch timeframe is an estimate dependent on you supplying accurate content, branding, domain access and requested information. Merchant or advertising approvals are controlled by third parties and can delay launch.
You authorise us to configure hosting, domain records, certificates, backups and platform services required for the agreed setup. You remain the owner of your domain unless it is expressly purchased and registered on your behalf under a separate arrangement.
Standard hosting is designed for high levels of competition traffic and order activity. Exceptionally high or sustained demand may require a larger server package. We will monitor service health and provide details before an upgrade that changes your fee.
6. Customer responsibilities and legal compliance
CompV2 supplies technology; you operate the competitions. You are responsible for ensuring that your business, promotions and each competition comply with applicable law, advertising rules, consumer requirements, data-protection obligations and the policies of payment, advertising and social platforms you choose to use.
This includes responsibility for competition rules, eligibility, age and location restrictions, skill questions, free-entry routes, draw operation, prize availability, winner verification, prize delivery, refunds, complaints, advertising claims and records. Platform features and templates are operational tools and are not legal advice.
You must provide accurate information, act fairly towards entrants, maintain appropriate business and prize records, and promptly investigate customer complaints, suspicious activity and payment disputes.
7. Marketing Suite, email and SMS
You are responsible for having a lawful basis and any consent required to send marketing communications, for maintaining suppression and preference records, and for ensuring sender details, campaign content, offers and landing pages are accurate and compliant.
Behaviour-led automations, segmentation and revenue attribution depend on the data and configuration available to the Platform. They assist your marketing operations but do not guarantee delivery, engagement, revenue or a particular commercial result.
We may pause campaigns that create a security risk, threaten platform deliverability, breach law, misuse contact data or materially affect other customers. Legitimate competition marketing will not be suspended simply because you operate a competition business.
8. Third-party services
The Platform may connect with Stripe, merchant providers, hosting suppliers, domain registrars, email or SMS carriers, analytics services, social networks and other third parties. Their services are governed by their own contracts and policies. We are not responsible for their approval decisions, outages, fees, account restrictions or policy changes.
Where we introduce or help configure a supplier, you remain responsible for deciding whether that service is suitable and for maintaining the relevant account.
9. Customer Data and privacy
You retain your rights in Customer Data. You give CompV2 permission to host, copy, transmit, back up and otherwise process Customer Data only as needed to provide, secure, support and improve the service or comply with law.
You are normally the controller of personal data collected from entrants and customers; CompV2 acts as a processor where it handles that data on your instructions. The Privacy Policy and any applicable Data Processing Agreement provide further detail.
You should request or download required exports before the Subscription ends. Data may be retained for a limited period for recovery, security, legal or accounting purposes and then securely deleted in accordance with our retention practices.
10. Intellectual property
CompV2 and its licensors own the Platform, source code, modules, system designs, documentation, trade marks and underlying technology. No ownership transfers to you. You own your branding, original content and Customer Data.
You grant us a limited right to use your branding and content to provide the service. Unless you give permission, we will not use your confidential business materials as public promotional content.
Bespoke layouts and assets are subject to the accepted proposal. The underlying CompV2 platform and reusable components remain CompV2 property even where incorporated into bespoke work.
11. Support, maintenance and availability
Support is provided through the channels included with your package. We prioritise issues according to severity, customer impact and security risk. Support does not include operating your competitions, writing legal documents or performing unlimited design and development work unless agreed separately.
We use commercially reasonable efforts to keep the Platform available and secure, but uninterrupted or error-free operation cannot be guaranteed. Planned maintenance, emergency work, internet failures, third-party services and events outside our reasonable control may affect availability.
Backups support service recovery and are not a substitute for records you are legally or commercially required to retain independently.
12. Bespoke services and migration
Bespoke design, development, migration or integration work is governed by the accepted quotation or statement of work. Work begins once the required approval, information and payment have been received.
Material changes to scope, integrations, content volume or migration complexity may require a revised estimate. Timelines depend on timely feedback and access from you and relevant third parties.
Migrated records are limited to information available from the source system in a usable format. You remain responsible for checking migrated balances, orders, customer data, competition records and legal content before launch.
13. Acceptable use
You must not use the Platform unlawfully; attempt to access another customer’s data; bypass security or licensing controls; introduce malicious code; overload or disrupt the service; copy, reverse engineer or resell the Platform; send unlawful or unsolicited communications; or use the service for fraud, deception or infringement.
You must cooperate with reasonable security, compliance and abuse investigations and provide information reasonably required to protect customers, the Platform or third parties.
14. Suspension, cancellation and termination
You may cancel through the billing portal or by an agreed support route. Cancellation takes effect at the end of the paid billing period unless otherwise stated. Annual payments are non-refundable after the annual term begins except where required by law or expressly agreed.
We may suspend or terminate access for material breach, unlawful activity, security threats, fraudulent use, serious platform abuse or overdue payment. Where the issue can reasonably be corrected, we will normally give notice and an opportunity to do so.
When the Agreement ends, your licence and access to hosted CompV2 modules end. Clauses concerning payment, intellectual property, confidentiality, data, liability and any rights that accrued before termination continue where their nature requires it.
15. Warranties and liability
Nothing in this Agreement limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that protection, CompV2 is not responsible for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill, business opportunity or losses caused by your competitions, content, third-party providers, advertising accounts, merchant decisions or failure to meet your legal obligations.
To the fullest extent permitted by law, CompV2’s total aggregate liability arising from the service will not exceed the Subscription fees you paid to CompV2 during the twelve months immediately before the event giving rise to the claim.
You are responsible for claims, losses and reasonable costs arising from your competitions, prizes, advertising, Customer Data, unlawful communications, breach of third-party rights or breach of this Agreement, except to the extent caused by CompV2’s own breach.
16. Confidentiality, changes and general provisions
Each party must protect the other’s non-public commercial, technical and customer information and use it only for the Agreement, except where disclosure is required by law or to professional advisers and suppliers bound by appropriate duties.
We may update these Terms to reflect legal, security, commercial or service changes. Material changes affecting an existing Subscription will be notified reasonably in advance. Continued use after the notified effective date constitutes acceptance; if you do not accept a material change, you may cancel before it takes effect.
Neither party is liable for delay caused by events outside its reasonable control. You may not assign the Agreement without our written consent. If any provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver.
This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory law requires otherwise.
17. Contact, complaints and notices
Questions, cancellation requests, complaints and legal notices should be sent to hello@compv2.com or through the CompV2 contact page. Please include your business name, account email and enough detail for us to investigate.
The formal CompV2 contracting name and business details applicable to your Subscription are shown on your checkout confirmation, order document or invoice.
